Terms and Conditions

Article 1 — Definitions

  1. Essential Basics B.V. ("Seller"): the company registered at Mosselaan 120, 1934 RD Egmond aan den Hoef, Netherlands, Chamber of Commerce number 66305373, VAT number NL856487272B01.
  2. Buyer: any business entity that places an order through the webshop or otherwise enters into an agreement with the Seller.
  3. Agreement: any arrangement between the Seller and the Buyer regarding the purchase of products.
  4. Products: all goods offered by the Seller through the webshop.
  5. Webshop: the B2B order platform accessible at www.essentialbasics-b2b.nl.

Article 2 — Applicability

  1. These terms and conditions apply to all offers, orders, and agreements between Essential Basics B.V. and the Buyer.
  2. By placing an order through the webshop, the Buyer accepts these terms and conditions.
  3. Deviations from these terms are only valid when confirmed in writing by Essential Basics B.V.
  4. The Buyer's own purchasing or other conditions do not apply unless explicitly accepted in writing by the Seller.

Article 3 — Offers and Agreements

  1. All offers on the webshop are without obligation and subject to availability.
  2. An agreement is concluded when the Seller confirms the Buyer's order by email or when the Seller ships the order.
  3. Essential Basics B.V. reserves the right to refuse orders without providing a reason.

Article 4 — Prices

  1. All prices on the webshop are in euros and exclude VAT, unless stated otherwise.
  2. Shipping costs are not included in the product price and are determined per client agreement.
  3. Essential Basics B.V. reserves the right to adjust prices. Price changes do not affect orders that have already been confirmed.

Article 5 — Payment

  1. Payment is made on invoice. Invoices are processed through Exact Online.
  2. Payment terms are specified on the invoice.
  3. If payment is not received by the due date, the Buyer is automatically in default. Essential Basics B.V. may charge statutory commercial interest and any collection costs incurred.

Article 6 — Delivery

  1. Delivery takes place at the address provided by the Buyer during the order process.
  2. Expected delivery time is 1-2 working days, subject to stock availability and correct payment status.
  3. Stated delivery times are indicative and do not constitute a deadline. Exceeding a delivery time does not entitle the Buyer to compensation or cancellation.
  4. Shipping is handled by LOF Logistiek. Tracking information is provided for all shipments.
  5. Risk of damage or loss transfers to the Buyer upon delivery.

Article 7 — Returns

  1. Returns are only accepted after prior approval by Essential Basics B.V.
  2. To request a return, the Buyer must contact support@ebcs.nl with the order number and reason for return.
  3. Essential Basics B.V. will respond to return requests within 3 working days.
  4. Return shipping costs and conditions are determined on a case-by-case basis.
  5. Products must be returned in their original, unopened packaging unless otherwise agreed.

Article 8 — Warranty and Complaints

  1. Essential Basics B.V. guarantees that products comply with the specifications stated on the webshop at the time of purchase.
  2. Complaints about delivered products must be reported in writing to support@ebcs.nl within 5 working days of receipt.
  3. If a complaint is found to be justified, Essential Basics B.V. will replace the product or issue a credit note, at its discretion.

Article 9 — Liability

  1. The liability of Essential Basics B.V. is limited to the invoice value of the products directly related to the claim.
  2. Essential Basics B.V. is not liable for indirect damages, including but not limited to lost profits, business interruption, or consequential damages.
  3. The limitations of liability in this article do not apply if the damage is caused by intent or gross negligence on the part of Essential Basics B.V.

Article 10 — Force Majeure

  1. In the event of force majeure, Essential Basics B.V. is not obligated to fulfil its commitments.
  2. Force majeure includes, but is not limited to: disruptions in supply chains, transport delays, natural disasters, pandemics, government measures, and failures of third-party services.
  3. If force majeure persists for more than 30 days, either party may terminate the agreement in writing without obligation for compensation.

Article 11 — Intellectual Property

  1. All intellectual property rights related to the products, brand name, and webshop content remain the property of their respective owners.
  2. The Buyer may not reproduce, distribute, or publish any content from the webshop without prior written permission from Essential Basics B.V.

Article 12 — Governing Law and Disputes

  1. These terms and conditions are governed by the laws of the Netherlands.
  2. Any disputes arising from or in connection with these terms will be submitted to the competent court in the district of Noord-Holland, the Netherlands.
